INCOMING OPTUS CHIEF EXECUTIVE CONFIRMS SENIOR MANAGEMENT STRUCTURE

10 August 2004

Incoming Chief Executive Paul O'Sullivan today confirmed the configuration of the Optus Senior Management Team under his leadership.

"Optus has excellent bench strength in the senior management team and in the interest of simplicity, I am introducing a more streamlined structure," Mr O'Sullivan said.

"There will be no change to the Managing Directors of Optus' trading divisions, and they will continue to report to me.

"The senior corporate executives who previously reported to outgoing Chief Executive, Chris Anderson will also continue in their roles and will now report directly to me. This effectively removes the office of Chief Operating Officer.

"I will introduce a new role which will combine the Transformation Team with leadership of the company's Corporate Development function. The Transformation initiatives are at an advanced stage of development, and while some will remain centrally managed, most others will shortly assimilate back into the business for delivery."

Mr O'Sullivan said that, while he was largely able to take a business as usual approach, one significant change would be necessary, as Managing Director of Transformation, Martin Dalgleish had indicated his desire to pursue other opportunities.

"I am pleased that Martin has agreed to continue in his role while we go through an internal and external search process to fill the role. Martin has done an outstanding job at Optus, leading the Consumer and Multimedia Division in a remarkable turnaround during the three years he served as Managing Director."

Martin Dalgleish said he had accomplished what he had set out to achieve in Consumer and Multimedia.

"I thoroughly enjoyed my time leading CMM, working with an outstanding group of people to refocus the strategy and execution of this business, that resulted in a terrific turnaround in performance. CMM can now look forward to a sustainable and vibrant future," Mr Dalgleish said.
